Welcome to The Shakti School's Ayurveda Programs. These Terms of Service together with the Shakti School Terms and Conditions, Privacy Policy and Disclaimers, (collectively, the “Terms”) are a binding agreement between the student that registers for the course (“Student”) and THE SHAKTI SCHOOL, LTD. (“Shakti School”). By registering for the Ayurvedic Online Training Certification Program, or any other online course with Shakti School, the Student acknowledges and agrees as follows:

1. COURSE MATERIALS TO BE PROVIDED BY THE COURSE

Subject to Student’s compliance with these Terms, Shakti School will provide Student with a 300-hour Ayurvedic Wellness Coach or Ayurvedic Health Counselor Online Training Certification Program (the “Course”). The Course shall be conducted solely for personal development and/or informational purposes and shall prepare Student to teach such pursuits. The Course shall last for a period of about 12 months; please review the Course web-page for a detailed Course schedule. During the duration of the course, Shakti School shall provide approximately (a) one three-hour class per week; (b) access to the online platform, through which the Student may access course materials and interact with students and Course staff. Dates for the weekly and monthly classes shall be provided prior to the start date of the Course. The Student acknowledges that due to the nature and duration of the Course scheduling may be subject to change. Shakti School will make a reasonable effort to provide the Student with advance notice of such schedule changes.

The Student acknowledges that all Course materials and content provided by Shakti School or any Course staff member is non-transferrable and may not be share with anyone not currently enrolled in the Course. The violation of this provision shall be grounds for immediate expulsion from the Course without refund of any Tuition amounts.

The Student acknowledges that Course materials such as textbooks and additional reading materials may be required or recommended by Shakti School and/or Course staff which are not included in the price of the Course. Obtaining such materials is the sole responsibility of the Student.

2. FEES AND PAYMENTS

a. Fees

Student will pay tuition in an amount agreed upon between the Student and Shakti School at registration (the “Fees”) as either a one-time payment or in installments. Student may pay the Fees by credit card, by ACH credit and wire transfers through the forms located at www.theshaktischool.com or by contacting Shakti School via email at [email protected]. Unless otherwise agreed by the parties, all Fees are nonrefundable. In the event of a verified medical emergency, upon Student’s request at least 30 days prior to the Course start date, Shakti School may, in its sole discretion, provide a refund to Student of all unused Fees minus all deposits.

b. Limitation on Fee Refunds

Ayurvedic Health Coach Course (Level 1):

The Student agrees that all deposits, which are 20% of the total Course Fees, shall be paid at the time of registration and are non-refundable regardless of whether payment is to be made in full or by installment plan. If Student notifies the School on or before January 31, 2025, that Student would like to withdraw from the Course: (i) the withdrawing Student will receive a refund of Fees paid minus the non-refundable deposit, and (ii) if the withdrawing Student is paying by installment plan, the requested withdrawal will not be processed or effective until Student’s installment payments equal or exceed the total deposit amount.  After January 31, 2025: (i) the Student may not withdraw from the Course, (ii) the entire Course Fee amount shall be due and owing, and (iii) no refund shall be given, with the sole exception being a case of medical emergency verified in writing by Student’s treating physician. Student acknowledges that any fees not paid by the stated deadlines are subject to collection by a third party agent of School.


Ayurvedic Health Counselor Course (Level 2): 


The Student agrees that all deposits, which are 20% of the total Course Fees, are non-refundable. Deposits are paid at time of registration. The first 3 installments of an installment plan go towards the nonrefundable deposit. If Student withdraws from the Course before January 1, 2024, they will receive a refund of Fees paid minus the non-refundable deposit.  No refunds shall be available made after January 1, 2024, and the entire Course Fee amount shall be due and owing. Refunds will only be granted in cases of verified medical emergency. The deadline for withdrawal from the course is March 31, 2024.

c. Installment Plans

In an effort to make the Course and the teachings provided therein available to all those who wish to access it, Shakti School has permitted students the option to pay the Course Tuition in installments over several months. In order to facilitate this installment payment offering, the following additional special terms apply:

If Student elects to pay the Fees in installments, Student will provide Shakti School with a credit card or debit card information and will authorize Shakti School to charge the card in the amounts and frequency selected during registration. If the card on file with Shakti School is lost, expires, or for any other reason fails to authorize a payment, Shakti School will notify Student and Student will immediately pay the unpaid amount and provide Shakti School with a valid method of payment. Failure to provide a valid method of payment will result in Student losing access to the Course, including all Content and class sessions.

d. Late Payments

All Fee balances outstanding for 30 days and longer will be subject to 2% interest per month until such a time that the outstanding Fee balance is paid in full.

3. ACKNOWLEDGMENT OF DUE DILIGENCE & SCOPE OF CERTIFICATION

Student acknowledges the following:

a. the Course is intended to provide Student with information and encourage personal development in the study of Ayurveda, and to prepare student to teach such pursuits by providing certification as an Ayurvedic Wellness Coach, or Ayurvedic Health Counselor

b. the Course is not intended to, and will not, prepare Student for certification as a Clinical Ayurvedic Specialist (Ayurvedic Practitioner).

c. prior to registering for the Course Student was provided with a summary of the offerings that such certification will permit Student to provide to their communities and understands that additional studies will be required for certification as a Clinical Ayurvedic Specialist (Ayurvedic Practitioner).

d. Student has had the opportunity to exercise the necessary due diligence to determine whether the Course will provide Student with the education and certification best suited to the offerings Student intends to provide to Student’s communities.

e. the Course requires dedication and study on a weekly basis to the Course content and reading materials for no less than one year.

f. is aware of the time commitment the Course requires and is able to commit to the Course schedule.

4. CERTIFICATION NOT GUARANTEED BY REGISTRATION

The study of Ayurveda is an endeavor requiring dedication and the investment of time and attention. Student acknowledges that registration for the Course and payment of Fees does not guarantee certification as an Ayurvedic Wellness Coach or Ayurvedic Health Counselor by Shakti School. Such certification shall be awarded solely at the discretion of Shakti School and upon the adequate completion of all Course requirements as determined by Shakti School.

5. INSURANCE

Student acknowledges that Shakti School is not providing Student with any form of general liability, professional liability, or other insurance through registration for and/or participation in the Course. Student acknowledges that Student has been advised of the need to obtain adequate insurance coverage prior to offering any Ayurvedic services to members of Student’s communities. Obtaining and maintaining such insurance coverage is the sole responsibility of Student.

6. INTELLECTUAL PROPERTY

The Student agrees that they will not infringe on the intellectual property rights of Shakti School or any other Course staff member. The Student acknowledges that all Course materials provided to the Student, including but not limited to the Course manual, Course videos, and any other written or electronic information provided to the Student in the duration of the Course – are the proprietary information of Shakti School and other Course staff members and agrees not to share or use such materials with those outside the Course without the express permission of Shakti School or the other Course staff member to whom the information rightly belongs. Any reproduction, distribution, or sale of such information is expressly prohibited.

The Student further agrees that they will not infringe on the copyright, patent, trademark, trade secret, or other intellectual property rights of Shakti School and/or any Course staff member.

In general, use of the Course materials and other Content (as defined in the Terms) is subject to the Terms. However, upon certification as a Shakti School Ayurvedic Wellness Coach or Ayurvedic Health Counselor, Student will receive access to Shakti School branded materials for use by the Student with Student’s community audience solely for use in one-on-one coaching and for no other uses (“Coaching Content”). For clarity, Student is may not use the Coaching Content to train others, to present information in group settings, or in any manner other than in a one-on-one coaching context without the express permission of Shakti School. Student agrees that Coaching Content may only be distributed to Student’s community audience in an unaltered state, which includes maintaining the Shakti School logo and contact information on those materials.

7. CONFIDENTIALITY

Due to the nature of the material presented and discussed during the duration of the Course, it is essential that Course participants be able to share personal information in a safe space. The Student agrees to maintain the confidentiality of any personal information shared in the context of the Course by any other student or by Shakti School. Student agrees that such information shall not be shared in any capacity other than in discussion with other Course students in the context of Course assignments, sessions, or programs without the express consent of the individual(s) involved.

8. INDEMNITY

Student agrees to defend, indemnify and hold Shakti School, its teachers, affiliates, owners, stockholders, directors, officers, employees, and agents harmless from all losses, liabilities, damages and expenses (including reasonable attorneys’ fees) incurred in connection with any action, suit, proceeding, claim, demand, investigation, or formal or informal inquiry that arises out of or is based upon the acts or omissions of Student.

9. WAIVER; LIMITATION OF LIABILITY

The information presented throughout the Course are for personal development and general information purposes only.  The Course is not a promise of benefits, a claim or cures, a legal warranty or a guarantee of results to be achieved, do not provide medical advice and are not intended or implied to be a substitute for professional medical advice, diagnosis or treatment.  You should consult with a healthcare professional before altering or discontinuing any current medications, treatment or care, starting any diet, exercise or supplementation program, or if you have or suspect you might have a health problem. Participating in the Course is solely at your own risk and we hereby disclaim all liabilities that may arise as a result.  By participating in the Course, you may be presented with ancient teachings that may include asana, movement, meditation, mantra, mudra, breathwork practices, Ayurvedic routines, and the use of herbs, tinctures, oils, or other supplements, all of which are purely voluntarily and undertaken at your sole discretion.

Student knowingly, voluntarily and expressly waives to the fullest extent permitted by law any claim they may have against Shakti School, its teachers, affiliates, owners, stockholders, directors, officers, employees, and agents for injury or damage that Student may sustain as a result of participating in the Course. Student, its heirs, and/or legal representatives forever release, discharge, and covenant not to sue Shakti School, its affiliates, owners, stockholders, directors, officers, employees, and agents for any injury or damage that they may sustain as a result of participating in the Course.

IN NO EVENT WILL SHAKTI SCHOOL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUE, LOST PROFITS, LOSS OF BUSINESS, COST OF COVER, OR RELIANCE, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF SHAKTI SCHOOL IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SHAKTI SCHOOL’S TOTAL LIABILITY TO STUDENT IN THE AGGREGATE WITH RESPECT TO ALL CLAIMS ARISING FROM OR RELATED TO THE COURSE WILL NOT EXCEED AN AMOUNT EQUAL TO ONE MONTH’S FEE PAID BY STUDENT TO SHAKTI SCHOOL IN THE PRECEDING 12-MONTH PERIOD.

10. TERMINATION

Shakti School may limit, suspend, or terminate Student’s participation in the Course, including if Student violated these Terms, Student’s participation adversely impacts Shakti School’s operations, subjects Shakti School to liability, becomes disruptive to the Course, or impairs the ability of others to fully participate in the Course. Notwithstanding any termination, limitation or suspension, Student remains responsible for all Fees due and owing under these Terms.

11. GOVERNING LAW

Virginia law governs these Terms without regard to its choice of law or conflict of law provisions. Student irrevocably agree to bring all legal actions against Shakti School in the United States District Court for the Western District of Virginia, Charlottesville Division.

12. In addition to the above Terms, Course fees for all other online courses are non-refundable.
