Welcome to Shakti School's Ayurvedic Training Program. These Terms of Service are a binding agreement between the student that registers for the course (the “Student”) and Katie Silcox and KATIE SILCOX YOGA, LTD. (collectively referred to herein as “Shakti School”). By registering for the Ayurvedic Online Training Certification Program, the Student acknowledges and agrees as follows:
1. COURSE MATERIALS TO BE PROVIDED BY SHAKTI SCHOOL
In exchange for good and valuable consideration, Shakti School agrees to provide the Student with a 300-hour Ayurvedic Wellness Coach or Ayurvedic Health Counselor Online Training Certification Program (the “Course”). The Course shall last for a period of about 12 months; please review the Course web-page for a detailed Course schedule. During the duration of the Course, Shakti School shall provide approximately (a) one three-hour class per week; (b) one three-hour class per month; (c) access to the online platform, through which the Student may access Course materials and interact with students and Course staff. Dates for the weekly and monthly classes shall be provided prior to the start date of the Course. The Student acknowledges that due to the nature and duration of the Course scheduling may be subject to change. Shakti School will make a reasonable effort to provide the Student with advance notice of such schedule changes.
The Student acknowledges that all Course materials and content provided by Shakti School or any Course staff member is non-transferrable and may not be share with anyone not currently enrolled in the Course. The violation of this provision of this agreement shall be grounds for immediate expulsion from the Course without refund of any Tuition amounts.
The Student acknowledges that Course materials such as textbooks and additional reading materials may be required or recommended by Shakti School and/or Course staff which are not included in the price of the Course. Obtaining such materials is the sole responsibility of the Student.
2. PAYMENT TERMS AND CONDITIONS.
a. Tuition Amount
In exchange for participation in the Course and access to all Course materials listed in Paragraph 1, above, the student agrees to pay tuition in an amount agreed upon between the Student and Shakti School (the “Tuition”). That amount shall be paid either as a one-time payment or in installments over several months. Such Tuition payments shall be made by credit card or ACH credit and wire transfers through the forms located at www.theshaktischool.com, or by contacting a member of our billing staff at firstname.lastname@example.org
b. Limitation On Tuition Refunds
The Student agrees that all deposits, which are 20% of the total Course Tuition, are non-refundable. In the event that Student withdraws from the Ayurvedic Wellness Coach Course before November 1st, or the Ayurvedic Health Counselor Course before December 31st, they will receive a refund of Tuition paid minus the non-refundable deposit. No Tuition refunds shall be available for any withdrawals made after November 1st for the Ayurvedic Wellness Coach Course, or December 31st for the Ayurvedic Health Counselor Course, and the entire Tuition amount shall be due and owing. Refunds will only be granted in cases of verified medical emergency.
c. Special Terms Applicable To Installment Plans
In an effort to make the Course and the teachings provided therein available to all those who wish to access it, Shakti School has permitted students the option to pay the Course Tuition in installments over several months. In order to facilitate this installment payment offering, the following additional special terms apply:
i. In the event that the Student has elected to make Tuition payments pursuant to the installment plan and the credit card on file with Shakti School is lost, expires, or for any other reason fails to authorize a monthly payment on the applicable due date, the Student will be given fifteen (15) days from the date the student receives notice that the payment was not authorized to provide Shakti School with an updated method of payment. Failure to provide such updated method of payment within this fifteen (15) day window will result in the Student losing access to all Course materials, including all class sessions facilitated by Course staff. Such suspension shall remain in effect until the full balance of Tuition remaining owed for the Course is paid by the Student in full.
d. Late Payments
All Tuition balances outstanding for thirty (30) days and longer shall be subject to two percent (2%) interest per month until such a time that the outstanding Tuition balance is paid in full.
3. ACKNOWLEDGMENT OF SCOPE OF CERTIFICATION.
The Student acknowledges that the Course is intended to prepare them for certification as an Ayurvedic Wellness Coach, or Ayurvedic Health Counselor, depending on which program Student completes. The Student acknowledges that the Course is not intended to, and will not, prepare them for certification as an Ayurvedic Practitioner, but that the hours completed through the Course may be counted toward future certification as an Ayurvedic Practitioner through other schools. The Student further acknowledges that prior to registering for the Course they were provided with a summary of the offerings that such certification will permit them to provide to their communities and understands that additional studies will be required for certification as an Ayurvedic Practitioner. The Student acknowledges that they have had the opportunity to exercise the necessary due diligence to determine whether the Course will provide them with the education and certification best suited to the offerings they intend to provide to their communities.
4. CERTIFICATION NOT GUARANTEED BY REGISTRATION.
The study of Ayurveda is an endeavor requiring dedication and the investment of time and attention. The Student acknowledges that registration for the Course and payment of Course Tuition does not guarantee certification as an Ayurvedic Wellness Coach, or Ayurvedic Health Counselor by Shakti School. Such certification shall be awarded solely at the discretion of Shakti School and upon the adequate completion of all Course requirements as determined by Shakti School and Course staff, as appropriate.
The Student acknowledges that Shakti School is not providing them with any form of general liability, professional liability, or other insurance through registration for and/or participation in the Course. The Student acknowledges that they have been advised of the need to obtain adequate insurance coverage prior to offering any Ayurvedic services to members of their communities. Obtaining and maintaining such insurance coverage is the sole responsibility of the Student.
6. USE OF INTELLECTUAL PROPERTY.
The Student agrees that they will not infringe on the intellectual property rights of Shakti School or any other Course staff member. The Student acknowledges that all Course materials provided to the Student, including but not limited to the Course manual, Course videos, and any other written or electronic information provided to the Student in the duration of the Course – are the proprietary information of Shakti School and other Course staff members and agrees not to share or use such materials with those outside the Course without the express permission of Shakti School or the other Course staff member to whom the information rightly belongs. Any reproduction, distribution, or sale of such information is expressly prohibited.
The Student further agrees that they will not infringe on the copyright, patent, trademark, trade secret, or other intellectual property rights of Shakti School and/or any Course staff member.
However, upon certification as a Shakti School Ayurvedic Wellness Coach, or Ayurvedic Health Counselor, the Student shall receive access to Shakti School branded content for use by the Student with their clients. The Student is expressly prohibited from using such materials to train others, to present information in group settings, or in any manner other than in a one-on-one coaching context without the express permission of Shakti School. The Student agrees that such materials shall be distributed to clients in an unaltered state, which includes maintaining the Shakti School logo and contact information on those materials.
The Student agrees that should they violate the terms of this Paragraph 6, or the display of any evidence of a likelihood of violating the terms of this Paragraph 6, Shakti School will be entitled to all available damages and remedies at law, including but not limited to injunctive relief to prohibit any such violations and to protect Shakti School against the harm of such violations.
Due to the nature of the material presented and discussed during the duration of the Course, it is essential that Course participants be able to share personal information in a safe space. The Student agrees to maintain the confidentiality of any personal information shared in the context of the Course by any other student, by any Course faculty member, or by Shakti School Staff. The Student agrees that such information shall not be shared in any capacity other than in discussion with other Course students in the context of Course assignments, sessions, or programs without the express consent of the individual(s) involved.
8. AGREEMENT TO HOLD HARMLESS AND INDEMNIFY.
The Student agrees to defend, at their own cost, and to indemnify and hold harmless to the fullest extent permitted by law, Shakti School and all members of the Course staff, and the respective agents, representatives, officers, and employees of each, from all losses and expenses incurred in connection with any action, suit, proceeding, claim, demand, investigation, or formal or informal inquiry (regardless of whether the same is reduced to judgment) or any settlement thereof which arises out of or is based upon the acts or omissions of the Student in whole or in part. This Paragraph 8 is intended to and shall survive the termination of this agreement for any reason whatsoever.
9. WAIVER OF LIABILITY.
The Student knowingly, voluntarily and expressly waives to the fullest extent permitted by law any claim they may have against Shakti School and all members of the Course staff (and their respective agents, representatives, officers, and employees) for injury or damage that they may sustain as a result of participating in the Course. The Student, their heirs, and/or legal representatives forever releases, discharges, and covenants not to sue Shakti School or any member of the Course staff (and their respective agents, representatives, officers, and employees) for any injury or damage that they may sustain as a result of participating in the Course.
10. TERMINATION / EXPULSION.
The Student acknowledges that Shakti School may, at its sole discretion terminate this agreement and limits, suspend, or terminate the Student’s participation in the Course without any refund of any Tuition payments made or forgiveness of Tuition amounts still due and owing. Such termination, limitation, or suspension may result in the event that the Student becomes disruptive to the Course; difficult for Shakti School, Course staff, and/or other students to work with, fails to follow the Course requirements or the terms and conditions of this agreement; or impairs the ability of other students and/or the Course staff to fully participate in the Course.
11. GOVERNING LAW.
This agreement shall be deemed to have been made and shall be construed and interpreted by the courts of, and in accordance with the laws of, the Commonwealth of Virginia, without regard to its choice of law or conflict of law provisions. The Student agrees that any legal action between the parties to this agreement shall be brought in the United States District Court for the Western District of Virginia, Charlottesville Division, where jurisdictional rules permit such an action to be maintained there. Where such jurisdictional rules are not satisfied, the Student agrees that such an action shall be brought in the General District Court or Circuit Court for the City of Charlottesville, Virginia.
If any clause, provision, covenant or condition of this agreement, or the application thereof to any person, place or circumstance, shall be held to be invalid, unenforceable, or void, the remainder of this agreement shall remain in full force and effect.
13. ENTIRE AGREEMENT.
The Student is not relying on any oral, written, or visual representations or statements made by Shakti School, any member of the Course staff, or the agents, representatives, officers, and employees of any of these individuals to induce them to participate in the Course. The entirety of the agreement between the Student and Shakti School shall consist of this agreement and any written communications between the Student and Shakti School memorializing the specific Tuition to be paid to Shakti School pursuant to Paragraph 2, above. Such written communications are incorporated herein by reference.
14. VOLUNTARY AGREEMENT.
By registering for the Course, the Student acknowledges and agrees that they have read these Terms of Service in its entirety and that they fully understand its contents. By registering, the Student acknowledges that they voluntarily agree to the terms and conditions contained herein.
